1. Agreement to Terms
By accessing or using ORA Technology's website and services, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our services.
2. Use License
Permission is granted to temporarily access the materials on ORA Technology's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:
- Modify or copy the materials
- Use the materials for any commercial purpose or public display
- Attempt to decompile or reverse engineer any software on our website
- Remove any copyright or proprietary notations from the materials
- Transfer the materials to another person or "mirror" the materials on any other server
3. Services
3.1 Service Description
ORA Technology provides software development, AI solutions, cloud infrastructure, and related technology services. Specific service details, deliverables, and timelines will be outlined in individual project agreements.
3.2 Service Modifications
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of services.
4. User Responsibilities
As a user of our services, you agree to:
- Provide accurate and complete information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized use of your account
- Comply with all applicable laws and regulations
- Not engage in any activity that interferes with or disrupts our services
- Not use our services for any illegal or unauthorized purpose
5. Intellectual Property Rights
Unless otherwise stated, ORA Technology owns the intellectual property rights for all material on this website. All intellectual property rights are reserved. You may access this from ORA Technology for your own personal use subjected to restrictions set in these terms and conditions.
For custom development projects, intellectual property ownership will be specified in the project agreement. Generally, upon full payment, clients receive ownership of custom-developed code, while ORA Technology retains rights to reusable components and frameworks.
6. Payment Terms
6.1 Pricing
All prices are quoted in the currency specified in the project agreement. Prices are subject to change with 30 days' notice for ongoing services.
6.2 Payment Schedule
Payment terms will be outlined in individual project agreements. Typically, projects require:
- Initial deposit upon project commencement
- Milestone payments as specified in the agreement
- Final payment upon project completion
6.3 Late Payments
Late payments may incur interest charges of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for accounts with overdue payments.
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the course of business. This obligation continues for 3 years after the termination of services unless otherwise specified in a separate Non-Disclosure Agreement.
8. Warranties and Disclaimers
8.1 Service Warranty
We warrant that our services will be performed in a professional and workmanlike manner. For software development, we provide a warranty period as specified in the project agreement for bug fixes and corrections.
8.2 Disclaimer
Except as expressly stated, our services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, timely, secure, or error-free.
9. Limitation of Liability
In no event shall ORA Technology be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use our services
- Any conduct or content of any third party on our services
- Any content obtained from our services
- Unauthorized access, use, or alteration of your transmissions or content
Our total liability shall not exceed the amount paid by you to ORA Technology in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless ORA Technology and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of our services or violation of these terms.
11. Termination
Either party may terminate services with written notice as specified in the project agreement. Upon termination:
- You must pay for all services rendered up to the termination date
- We will deliver all completed work and materials
- Both parties must return or destroy confidential information
- Provisions regarding confidentiality, intellectual property, and liability survive termination
12. Dispute Resolution
12.1 Negotiation
In the event of any dispute, both parties agree to first attempt to resolve the matter through good faith negotiation.
12.2 Arbitration
If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association in Nepal.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Nepal, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the courts of Kathmandu, Nepal.
14. Changes to Terms
We reserve the right to modify these terms at any time. We will notify users of any material changes by posting the new Terms and Conditions on this page and updating the "Last Updated" date. Your continued use of our services after changes constitutes acceptance of the modified terms.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
